Bylaws committee submits resolution review

(Sept. 21, 2017) The Ocean Pines Association Bylaws and Resolutions Committee submitted an amendment to Resolution B-01 to clear up the process of how all resolutions are reviewed.
Committee Chairman Marty Clarke said he submitted a copy of the amendment to the board liaison, last week.
While the board is responsible for periodic review of resolutions, the amendment would add the language, “The Bylaws and Resolutions Advisory Committee shall establish the entity responsible for each Resolution and a schedule of due dates for a review of the Resolution purpose. The entity responsible for the resolution shall report the results of the review to the Board of Directors.”
Additionally, the amendment would require first readings for any resolution amendment to be considered during a regular board meeting. Amendments may subsequently be approved during regular or special board meetings.
Language for disapproval of a proposed resolution or amendment was also added.
“At a meeting subsequent to that of the First Consideration, the Board may vote to reject further consideration of the proposed resolution action,” the new language stated.
Additionally, a board member who submits an amendment would be responsible for “providing sufficient description of the action” and, if approved, would be responsible for providing the secretary with a final copy for signature approvals.
Committee member Jim Trummel, who drafted the new language, said B-01 essentially formalizes the resolution review process.
“The B-01 draft puts the full responsibility on the liaison and the committee to get to the board something that is ready for signature or, if the board manipulated it in some manner, get it back into form to be signed,” Trummel said.
If all goes well, Clarke said, the board would hold a first reading of the changes in October.
The committee discussed a review schedule for dozens of board resolutions, committee resolutions, financial and budgetary resolutions, and general and administrative resolutions during its most recent meeting, Sept 7.
